DIRECTOR CORPORATE SERVICES
REPORTS TO THE CEO
Our Client, a State-Owned Enterprise, is seeking to recruit a Corporate Services Director. The position is responsible for providing Board secretarial services, legal and regulatory compliance, human resources management, and corporate governance oversight. The role ensures strategic decision-making to protect the interests and integrity of the organisation within the complex and highly regulated aviation environment.
KEY RESPONSIBILITIES
Providing legal expertise and ensuring compliance with applicable national and international laws and standards.
Preparing board packs timeously and serving as the point of contact for board members.
Preparing and reviewing board resolutions, meeting minutes, and decisions for legal accuracy.
Coordinating and overseeing the end-to-end conduct of AGMs, ensuring compliance with regulatory requirements.
Developing and implementing human resource strategies, policies, systems and procedures that are aligned to the company’s overall strategy and vision.
Building, engaging, and retaining a high-performing workforce to ensure organisational objectives are met.
Developing compliance frameworks to protect the organisation from legal and regulatory risks.
Reviewing contracts to ensure they are legally sound and serve the interests of the organisation.
Providing direction and coordinating litigation involving the organisation in debt recovery, labour issues, and contractual matters.
Leading in ensuring accurate recording of Board and AGM minutes, reflecting resolutions passed and compliance matters.
Managing Board and Shareholder administration and communications to ensure timely and accurate information.
Leading the preparation and monitoring of departmental budgets and cost plans.
Maintaining strong relationships with stakeholders such as airlines, employees, and government entities.
KEY REQUIREMENTS
Bachelor’s Degree in Law, Corporate Governance, or a related discipline.
Postgraduate qualification such as an MBA or Master’s in a relevant field is an added advantage
Relevant professional certifications in Corporate Governance, Law, or HR (advantageous).
7-10 years working experience in a corporate services, legal, or HR environment, 5 years of which should be at a Senior Management level.
A clean driver’s license.

Excellent people, project management, and stakeholder engagement skills.
Deep understanding of corporate governance best practices and legal frameworks.
Strong technical expertise in labour laws, compliance, and policy development.
